Stakeholders & Contractual Structure
Two key contracts form the legal structure behind each project and document the roles and responsibilities of the three primary stakeholders.

Customer
The customer interfaces with both Metrus and the ESCO during the engineering phase to help craft the final scope of work. After the project is operational, the customer will make periodic service payments to Metrus. During the term of the ESA, the customer will continue to operate the project equipment on a day-to-day basis, but Metrus will be responsible for providing periodic maintenance services to ensure long-term reliability and performance.
Metrus Energy
Metrus will enter into the ESA directly with the Customer. In parallel with executing the ESA with the customer, Metrus will execute the Efficiency Services Performance Contract (ESPC) with the ESCO. Through this ESPC, Metrus will pay the ESCO for all project development activities, including: design, engineering, implementation, commissioning, ongoing maintenance services, and ongoing measurement & verification services. Metrus will own all project-related assets for the duration of the ESA term.
Energy Services Company (ESCO)
An energy services company (ESCO) will conduct all engineering analysis and act as the general contractor during construction. After the project is operational, the ESCO will continue to provide maintenance services and also periodically quantify the energy savings from the project.
